2 P.E.A.C.E. Corporation (Corporation) financed the building of a new shopping center through a mortgage on the property given to Oklahoma City Federal Savings and Loan Association. At the time of construction of the center, a gas powered heating and air-conditioning system was installed by Refrigeration Sales & Engineering Co. (RS&E). The purchase of equipment for the system was secured by three conditional sales contracts between Corporation and RS&E, purportedly assigned to Oklahoma Natural Gas Co. (ONG).
